managed by the owners, known as <strong>Members<\/strong>, or may be managed one or more <strong>Managers<\/strong>, who do not have to be Members.\u00a0 Signing documents for an LLC must be done correctly.<\/p>\n<p style=\"text-align: justify;\">In the LLC <strong>Articles of Organization<\/strong>, the LLC declares whether <strong>management<\/strong> will be done by the Members or by a Manager.\u00a0 An LLC may have a <strong>single member<\/strong>.<\/p>\n<p style=\"text-align: justify;\">A <strong>Sole Proprietorship<\/strong> has a <strong>single owner<\/strong>, also known as a <strong>proprietor<\/strong>.\u00a0 The owner of a sole proprietorship is not known as a Member.<!--more--><\/p>\n<p style=\"text-align: justify;\">A <strong>member-managed LLC<\/strong> may have some members with management <strong>authority<\/strong>, known as <strong>Managing Members<\/strong>, and other members who are <strong>passive investors<\/strong> without management authority, Non-managing Members.\u00a0 Non-managing members do not have authority for signing documents for the LLC.<\/p>\n<p style=\"text-align: justify;\">An LLC may elect <strong>directors<\/strong> and <strong>officers<\/strong>.\u00a0 The <strong>Board of Directors<\/strong> sets and monitors the <strong>direction<\/strong> or goals for the company, and may elect a <strong>Chairman of the Board<\/strong>.\u00a0 Elected or appointed <strong>Officers<\/strong>, such as a CEO, President, Vice-President, Treasurer, and Secretary, have <strong>executive power<\/strong> to take action to accomplish the goals set by the Board of Directors.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"LLC_Operating_Agreement\"><\/span>LLC Operating Agreement<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">The specific duties of the directors, managers and executive officers are defined in the LLC <strong>Operating Agreement<\/strong>.\u00a0 If the LLC does not have a written Operating Agreement, then the state laws for operating an LLC apply by default.<\/p>\n<p style=\"text-align: justify;\">Anyone that owns a <strong>Membership Interest<\/strong> in an LLC is an <strong>owner<\/strong>.\u00a0 But an <strong>Owner<\/strong> is not a title to use when signing documents for an LLC.\u00a0 An owner may have no authority for signing documents as an agent of the LLC since an owner might not be a director, manager or officer.<\/p>\n<p style=\"text-align: justify;\">An owner might not even be a <strong>Member<\/strong> of the LLC.\u00a0 The <strong>Operating Agreement<\/strong> defines the requirements to be admitted as a Member.\u00a0 For example, if an owner of a Membership Interest is sued personally, a <strong>creditor<\/strong> may be awarded the ownership of the <strong>Membership Interest<\/strong> formerly held by the Member.<\/p>\n<p style=\"text-align: justify;\">The creditor would become a new <strong>owner<\/strong> of part of the LLC, but would not have any authority to manage the LLC or the <strong>right to vote<\/strong> on LLC matters, unless <strong>admitted<\/strong> as a Member by a vote of the remaining Members,\u00a0 That is a risk of a <strong>single-member LLC<\/strong>.\u00a0 A <strong>creditor<\/strong> might become an owner and then a Member if there is no opposition by other Members.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"LLC_Signature\"><\/span>LLC Signature<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">If the <strong>Articles of Organization<\/strong> declare that the LLC will be managed by Managers, then signing documents such as contracts should be done correctly by a <strong>Manager<\/strong> or an <strong>authorized officer<\/strong>, not a signature followed by the word <strong>Owner<\/strong>.\u00a0 For a sole proprietorship, Owner would be acceptable.<\/p>\n<p style=\"text-align: justify;\"><b>LLC Signature Example:<br \/>\n<\/b>Acme Services, LLC<br \/>\nby: __<span style=\"text-decoration: underline;\">(signature)<\/span>__<br \/>\nJulius Caesar, Title (Manager, Managing Member, CEO, President, etc.) (not Owner)<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Certificate_of_Incumbency\"><\/span>Certificate of Incumbency<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">An LLC, Corporation, Partnership or Association can sign a notarized <span style=\"text-decoration: underline;\"><a href=\"https:\/\/abclegaldocs.com\/blog-Colorado-Notary\/certificate-of-incumbency-company-officers\/\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>Certificate of Incumbency<\/strong><\/a><\/span>.<\/p>\n<p style=\"text-align: justify;\">The Certificate of Incumbency is a <strong>sworn statement<\/strong> by the Manager, President or Secretary, listing the current authorized Managers, Directors and Officers of the company.\u00a0 These are the current people with authority for signing documents as an agent for the LLC.\u00a0 The names of the Members of the LLC can remain private and confidential.<\/p>\n<p style=\"text-align: justify;\">By signing documents as <strong>Owner<\/strong>, there is a risk that the signer may be ruled to be acting <strong>personally<\/strong>, not as an agent on behalf of the LLC, or acting <strong>without authority<\/strong> if the LLC is organized to be managed by Managers or Officers, and the signer might be taking on <strong>personal liability<\/strong> by providing a <strong>Personal Guarantee<\/strong>, in addition to any liability of the LLC.<\/p>\n<p style=\"text-align: justify;\">Don&#8217;t risk your personal assets or provide personal guarantees by signing documents incorrectly.\u00a0 Get advice from a knowledgeable business attorney to follow
