justify;\"><strong>Colorado Notary Training<\/strong> classe<span style=\"text-align: justify;\">s must teach the duty to include a <\/span><strong style=\"text-align: justify;\">notarial certificate<\/strong><span style=\"text-align: justify;\"> on a notarized document.\u00a0 This means that the document must include an <\/span><strong style=\"text-align: justify;\">acknowledgment<\/strong><span style=\"text-align: justify;\">, or a <\/span><strong style=\"text-align: justify;\">jurat<\/strong><span style=\"text-align: justify;\"> (<\/span><strong style=\"text-align: justify;\">oath<\/strong><span style=\"text-align: justify;\"> or <\/span><strong style=\"text-align: justify;\">affirmation<\/strong><span style=\"text-align: justify;\">), or a <\/span><strong style=\"text-align: justify;\">copy certification <\/strong><span style=\"text-align: justify;\">before it is notarized.<\/span><\/p>\n<p style=\"text-align: justify;\">Colorado statute CRS 12-55-208 provides short forms of <strong>acknowledgment<\/strong> for an <strong>individual<\/strong>, a <strong>corporation<\/strong>, a <strong>partnership<\/strong>, a <strong>power of attorney<\/strong> agent (attorney in fact), and a <strong>public officer<\/strong>, <strong>trustee<\/strong>, or <strong>personal representative<\/strong>.\u00a0 The use of the statutory short forms does not preclude the use of other forms.<!--more--><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Personal_Capacity\"><\/span>Personal Capacity<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">For an individual signing in his\/her own right, the form reads: <em>&#8220;The foregoing instrument was acknowledged before me this [date] by [name of person acknowledged].&#8221;<\/em>\u00a0 The notary must verify the <strong>identity<\/strong> of the signer using <strong>satisfactory evidence<\/strong> such as <strong>personal knowledge<\/strong>, a government-issued <strong>photo identification<\/strong> (driver&#8217;s license, military ID, passport) or a <strong>credible witness<\/strong>.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Signing_Authority_for_a_Business\"><\/span>Signing Authority for a Business<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">When an individual is signing as an officer or agent with signing authority on behalf of a <strong>corporation<\/strong>, the form reads: <em>&#8220;The foregoing instrument was acknowledged before me this [date] by [name of officer or agent], [title of officer or agent], of [name of corporation acknowledging] a [state or place of incorporation] corporation, on behalf of the corporation.&#8221;<\/em><\/p>\n<p style=\"text-align: justify;\">When an individual is signing as a partner or agent with signing authority on behalf of a <strong>partnership<\/strong>, the form reads: <em>&#8220;The foregoing instrument was acknowledged before me this [date] by [name of acknowledging partner or agent], partner (or agent), on behalf of [name of partnership] a partnership.&#8221;<\/em><strong><em>\u00a0<\/em><\/strong><\/p>\n<p style=\"text-align: justify;\">(An acknowledgment form for a <strong>Limited Liability Company<\/strong> (<strong>LLC<\/strong>) is not provided in Colorado law, but is similar to a corporation or a partnership.)<\/p>\n<p style=\"text-align: justify;\">Colorado law does not specify a procedure for verifying the signing authority or <strong>representative capacity<\/strong> of a person to prove they are currently <strong>authorized<\/strong> to sign on behalf of a <strong>corporation<\/strong>, <strong>partnership<\/strong> or<strong> LLC<\/strong>.\u00a0 The signing authority verification procedure is not found in the\u00a0<strong>2010 Model Notary Act<\/strong>.<\/p>\n<p style=\"text-align: justify;\">Colorado statute CRS 12-55-207 defines &#8220;<strong>Acknowledged before me<\/strong>&#8221; to mean that an <strong>officer<\/strong> or <strong>agent<\/strong> of a <strong>corporation<\/strong> acknowledged that he\/she held the position or title set forth in the instrument and certificate, signed the instrument on behalf of the corporation by <strong>proper<\/strong> <strong>authority<\/strong>, and the instrument was the act of the corporation for the purposes therein stated.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Representative_Capacity\"><\/span>Representative Capacity<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">The <strong>Colorado Notary Handbook<\/strong> states: <em>&#8220;For some acknowledgments, client identification may have a second part.\u00a0 A signer may be acknowledging in a <strong>representative capacity<\/strong>.\u00a0 In such cases, the notary should <strong>identify<\/strong> the <strong>individual AND<\/strong> his or her <strong>capacity<\/strong>.&#8221;<\/em><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Reasonable_Care\"><\/span>Reasonable Care<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">A <strong>prudent<\/strong> notary should always use <strong>reasonable care<\/strong>.\u00a0 Businesses operating in Colorado must register the business with the <strong>Secretary of State<\/strong> (<strong>SOS<\/strong>).\u00a0 The notary may easily <strong>verify<\/strong> that the business is <strong>registered<\/strong> and in <strong>good standing<\/strong> in Colorado in the online <strong>business records<\/strong> section of the SOS website.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Business_Name_Database\"><\/span>Business Name Database<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">A database search for the <strong>business name<\/strong> will display the <strong>status<\/strong> of the corporation and the <strong>state of incorporation<\/strong>.\u00a0 A corporation formed outside of Colorado will be listed as a foreign corporation.\u00a0 The public records for business are located at <strong><a title=\"Colorado SOS Business Center\" href=\"https:\/\/www.sos.state.co.us\/biz\/\" target=\"_blank\" rel=\"noopener noreferrer\">www.sos.state.co.us\/biz\/<\/a><\/strong><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Evidence_of_Signing_Authority\"><\/span>Evidence of Signing Authority<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">The <strong>National Notary Association<\/strong> (<strong>NNA<\/strong>) Bulletin and <strong>Notary Home Study Course <\/strong>states:\u00a0 <em>Determining a signer\u2019s <strong>authority<\/strong> to sign may be done through <strong>personal knowledge<\/strong>, by <strong>documentary proof<\/strong> or by vouching under the <strong>oath<\/strong> or <strong>affirmation<\/strong> of the signer or a credible witness.<\/em><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Documentary_evidence\"><\/span>Documentary evidence<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><strong>Documentary evidence<\/strong> of the signing <strong>authority<\/strong> of the signer to act on behalf of the corporation might be shown by a license, registration form, or directory listing from a <strong>government agency<\/strong>, an authorization letter or contract, certificate of authority, corporate <strong>resolution<\/strong>, notarized <strong>business records<\/strong> or notarized <strong>meeting minutes<\/strong>.\u00a0 Some companies use a <strong>corporate seal<\/strong> on official documents.<\/p>\n<p style=\"text-align: justify;\"><strong>Supplementary evidence<\/strong> might include a company photo ID badge, business card, office nameplate, company letterhead, company newsletter, press release, or information found on a company or industry website or business directory.\u00a0 A Google search of the signer&#8217;s name or online profile may reveal additional information.<\/p>\n<p style=\"text-align: justify;\">Since some documents are easy to create, and not secure, and the employment, rank or authority of a person could be changed, <strong>terminated<\/strong> or <strong>revoked<\/strong> at any time, documentary evidence may not be current or reliable.<\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Affidavit_of_Authority\"><\/span>Affidavit of Authority<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\">An <strong>Affidavit of Authority<\/strong>, sworn under <strong>oath<\/strong> or <strong>affirmation<\/strong>, under penalty of <strong>perjury<\/strong>, by the signer or a credible witness, would provide testimonial evidence that the signing authority of the officer or agent is <strong>valid<\/strong> and <strong>current<\/strong>.<\/p>\n<p style=\"text-align: justify;\">The notary should make a note in the <strong>notary journal<\/strong> of the type of evidence of <strong>signing<\/strong> <strong>authority<\/strong> that was used.\u00a0 The notary should <strong>decline<\/strong> to notarize if satisfactory evidence is not available.<\/p>\n<p style=\"text-align: justify;\">Note: Some states, including <strong>California<\/strong>, do not allow a notary to verify the capacity or signing authority of a signer, only to verify identity.<\/p>\n<p style=\"text-align:
